TONIGHT, WE HAVE A VERY SPECIAL EVENT THAT WE DO EVERY YEAR, COCOA WITH COUNCIL.

WE ARE GOING TO LIMIT TONIGHT'S CALL TO THE PUBLIC TO 15 MINUTES, WHICH SHOULD NOT BE A PROBLEM AS WE DON'T HAVE THAT MANY SPEAKER CARDS.

BEFORE I START THE CALL TO THE PUBLIC, I WOULD LIKE TO LET EVERYBODY KNOW THAT MYSELF, TOWN MANAGER ROSMA, WE HAD A MEETING WITH THE REPRESENTATIVES FROM MTC.

THEY CAME INTO TOWN AND WE MET WITH THEM.

BOTH MYSELF AND THE TOWN MANAGER EXPRESSED OUR DESIRE THAT THEY TRY TO OPEN THAT AS A PRIVATE PRISON, THAT NOT AN ICE FACILITY.

THEY IN RETURN, TOLD US WHAT THEY WERE DOING.

THEY WERE EXPLORING OPTIONS.

THEY HAVE HAD SEVERAL DISCUSSIONS WITH STATE AGENCIES AROUND THE COUNTRY.

BUT THEY HAVE ALSO HAD A DISCUSSION WITH ICE.

WE AGAIN, EXPRESSED OUR DESIRE TO HAVE THAT BE A PRIVATE FACILITY BECAUSE WHEN THEY WERE OPEN BEFORE, WE ENJOYED A RELATIONSHIP WITH THEM THAT REALLY HELPED OUR COMMUNITY.

THEY UNDERSTAND OUR POSITION.

MR. MANAGER, COULD YOU EXPRESS IT ANY DIFFERENTLY?

THANK YOU ALSO FOR COMMUNICATING DIRECTLY TO MTC ABOUT COMMUNITY INPUT.

AS I THOUGHT ABOUT, WE'VE GOT OVER 800 SIGNATURES ON OUR PETITION TO STOP THIS DETENTION CENTER AND WE HAD ANOTHER 300 OR SO AT OUR TOWN HALL LAST THURSDAY.

I APPRECIATE THAT YOU ARE ATTENTIVE.

I REALLY BELIEVE THAT YOU DO NOT WISH TO HARM THIS COMMUNITY AND HAVE THE BEST INTERESTS AT HEART FOR MARANA WITH FAMILY FRIENDLY EVENTS LIKE TONIGHT.

WE REALLY WANT TO SUPPORT YOU IN THAT.

UNLEASHING ICE IN THIS COMMUNITY WILL HARM IT.

I LIVE JUST OUTSIDE THE MARANA TOWN BOUNDARIES AROUND CORTERO THORNY DALE, TO GIVE YOU AN IDEA.

I'VE LIVED HERE ALL MY LIFE, AND I'VE SPENT A LOT OF TIME IN MARANA.

MY FATHER WAS A MARANA SCHOOL BUS DRIVER.

HE'S RETIRED NOW. BUT I LOVE MARANA.

JUST TAKE MY WORDS FOR WHATEVER THEY'RE WORTH.

I'M HERE TO SPEAK ABOUT THE THREAT POSED BY MTCS DETENTION CENTER AND ALSO THE DATA CENTER.

IN MY VIEW, THIS ISN'T REALLY ABOUT BORDER PROTECTION OR BORDER CONTROL.

IT'S ABOUT SOMETHING THAT'S MORE SINISTER.

THIS WEEK, I WATCHED VIDEOS OF ICE AGENTS, PEPPER SPRAYING A 1-YEAR-OLD, KNEELING ON THE BACKSIDE OF A PREGNANT WOMAN AND DRAGGING A BLIND MAN THROUGH THE STREETS.

IS THIS WHAT WE WANT FROM MARANA? CHURCHES AND SCHOOLS HAVE BEEN RAIDED.

US CITIZENS AND VETERANS HAVE BEEN DEPORTED.

IS THIS WHAT WE WANT FROM MARANA? HUMAN RIGHTS ABUSES ARE BEING DOCUMENTED IN ICE DETENTION CENTERS ACROSS THE COUNTRY.

THIS INCLUDES PHYSICAL AND SEXUAL ABUSE OF ADULTS AND CHILDREN, AS WELL AS UNIQUE FORMS OF TORTURE.

MTC'S TRACK RECORD HAS BEEN PARTICULARLY HORRIFIC.

THIS IS NOT WHAT I WANT FOR MARANA.

I THINK MARANA DESERVES BETTER.

THEN REGARDING THE DATA CENTER, COMMUNITIES ACROSS THE COUNTRY ARE REELING FROM THE CONSEQUENCES OF HAVING A DATA CENTER IN THEIR NEIGHBORHOODS.

ACCORDING TO THE PRESENTATION GIVEN LAST WEEK, THE DATA CENTER WILL EXIST 1 MILE AWAY FROM A RESIDENTIAL AREA, RIGHT NEXT TO A FARM AND RIGHT NEXT TO THE VETERANS CEMETERY.

AFTER LISTENING TO HOURS OF PUBLIC OPPOSITION TO THE PROPOSED DATA CENTER, PLANNING COMMISSION MEMBER SHARON TYSON, MADE A COMMENT ABOUT THE NEED FOR PROGRESS.

I'M ALL FOR PROGRESS, BUT I THINK IT SHOULD BE IN A DIRECTION THAT STAYS TRUE TO THE SPIRIT OF THIS TOWN THAT CAPITALIZES ON MARANA'S EXISTING STRENGTHS.

LET'S PROGRESS IN A WAY THAT CREATES GOOD, MEANINGFUL JOBS, NOT JOBS THAT HARM THE COMMUNITY, AND IN A WAY THAT RESPECTS AND CONSERVES THE NATURAL BEAUTY OF MARANA, NOT IN A WAY THAT POLLUTES AND ENDANGERS IT.

LASTLY, I WOULD LIKE TO WISH YOU ALL MERRY CHRISTMAS, HAPPY NEW YEAR.

I URGE YOU TO DO EVERYTHING IN YOUR POWER TO OPPOSE THE THREATS TO MARANA THAT MTC AND BEAL BRING SO THAT WE CAN BUILD A FUTURE THAT IS BRIGHTER THAN THAT WHICH THEY OFFER US, ONE THAT IS BUILT ON LOVE, KINDNESS, MUTUAL RESPECT, STRONG MORALS AND GOOD VALUES.

RESIDENT HERE IN MARANA, AND ONCE AGAIN, HERE TO SPEAK OUT AGAINST THE MTC FACILITY, WHETHER IT'S A PRIVATE PRISON OR A DETENTION CENTER, WE REALLY HAVE NO ROOM IN OUR COMMUNITY FOR THAT.

WE ALL KNOW THAT THEIR REPUTATION IS NO SECRET FROM SEXUAL ABUSE, MURDER, RIOTS THAT LED TO THE DESTRUCTION OF THEIR OWN FACILITY.

THIS IS NOT SOMETHING WE NEED IN OUR COMMUNITY.

WE KNOW THAT ICE WILL ONLY BRING VIOLENCE WHEREVER THEY COME.

WE SAW THIS JUST RECENTLY, THE TACO GIRO RAIDS.

WE SAW INNOCENT PEOPLE UNARMED PEOPLE PEPPER SPRAYED.

WE SAW A SITTING CONGRESSPERSON PEPPER SPRAYED, AND THAT'S ONLY GOING TO CONTINUE TO ESCALATE WHETHER THEY'RE OPERATING A PRIVATE PRISON OR A DETENTION FACILITY.

I THINK I SPEAK FOR MOST PEOPLE HERE THAT WE DON'T WANT TO SEE ANY OF THAT HERE.

I'VE ONLY LIVED HERE IN MARANA FOR A FEW YEARS, AND I RECENTLY LEARNED THAT THE SLOGAN HERE IS BLAZING TRASALS, BUILDING LEGACY.

I DON'T THINK ICE OR MTC FURTHERS THAT SLOGAN AT ALL.

IT WOULD ONLY TAINT OUR TOWN.

IT WOULD LEAVE A LEGACY OF VIOLENCE AND CORRUPTION.

WE NEED TO REFUSE THIS FACILITY, WHETHER IT'S PRIVATE PRISONS, OR AT THE DENCH FACILITY.

WE JUST WANT TO SEE TRANSPARENCY FROM THE COUNCIL.

I HOPE THAT YOU GUYS CONTINUE TO STAND WITH US IN REJECTING THIS FACILITY [APPLAUSE]

HOWEVER, I WOULD STILL CAUTION AND ADVISE THAT THEY'RE STILL GOING TO TRY AND PUSH IT THROUGH IF IT IS THE CONTRACT THAT WOULD BRING THEM THE MOST MONEY.

IT IS EXTREMELY IMPORTANT THAT WE DON'T ALLOW THOSE FACILITIES TO BE BUILT IN SOUTHERN ARIZONA.

B AS WE SAW WITH TACO GIRO RAIDS, THEY INTEND TO TERRORIZE OUR COMMUNITIES AND CAUSE AS MUCH HARM AND DAMAGE AS THEY POSSIBLY CAN, BECAUSE THEY AREN'T GOING AFTER CRIMINALS.

THEY'RE GOING AFTER ANYBODY WHO DOESN'T ALIGN WITH THEIR EXACT IDEAL OF WHAT AN AMERICAN SHOULD BE.

BECAUSE OF THAT, WE HAVE TO STOP THEM HOWEVER WE CAN, AND IT'S ALWAYS EASIEST TO STOP THEM BEFORE THESE THINGS START GETTING MOVING.

TO STOP THIS UPSTREAM BEFORE IT BECOMES A TORRENTIAL FLOOD THAT'LL DROWN TUCSON, MARANA, AND ALL OF OUR COMMUNITIES HERE. THANK YOU.

IT'S OWNED BY CAL AND STEVE NORMAN. JUST DELICIOUS.

I HAD SOME OF THE GILADO THERE. IT'S THE BEST I EVER HAD.

ALSO, THIS PAST SUNDAY, I ATTENDED A SPECIAL EVENT AT SANCTUARY COVE AT THE BASE OF OUR SAFFORD PEAK, CELEBRATING THE 70TH ANNIVERSARY OF THE BELOVED CHAPEL THERE, A PLACE OF QUIET BEAUTY AND REFLECTION IN THE HEART OF THE SONORAN DESERT.

PART OF THAT CELEBRATION WAS FOUR NEW STAINED GLASS WINDOWS IN THE CHAPEL, DEPICTING THE SONORAN DESERT, AND CLASSIC ELEMENTS OF LIFE, WHICH INCLUDE EARTH, WATER, AIR, AND FIRE. THANK YOU, MAYOR.

BUT THANK GOODNESS IN THE TOWN OF MARANA.

WE DON'T HAVE A LOT OF CRIME, SO WE'RE ABLE TO CONCENTRATE ON COMMUNITY SERVICE.

I WAS REALLY EXCITED TO SEE THE AMOUNT OF INVESTMENT THAT IS BEING MADE IN THAT FACILITY AND THEIR PLANS FOR PENAL AIR PARK ROAD AND HOW THEY INTEND TO EXPAND IN THAT AREA.

VERY EXCITING. TODAY, I HAD THE OPPORTUNITY TO ATTEND THE YEAR END LUNCH IN FOR THE CHAMBER OF COMMERCE.

OUR CHAMBER OF COMMERCE NOW HAS OVER 800 MEMBERS MAKING IT THE LARGEST CHAMBER OF COMMERCE IN SOUTHERN ARIZONA.

I THINK THAT THAT IS A TESTAMENT TO NOT ONLY THE PEOPLE THAT OPERATE AND RUN THE CHAMBER, AMANDA AND HER TEAM, BUT AS TO OUR BUSINESSES AND OUR COMMUNITY AS WELL.

WHAT A VERY EXCITING TIME IT IS FOR OUR BUSINESSES IN MARANA.

JUST A LITTLE BIT OF THE BACKGROUND, BACK IN MAY OF 2024, THE TOWN ISSUED A REQUEST FOR PROPOSALS AND RFP SEEKING A DEVELOPER TO DEVELOP 19 ACRES OF TOWN-OWNED PROPERTY THAT'S JUST TO THE NORTH OF OUR FACILITY HERE, PAST THE ROUNDABOUT THERE.

WE WERE LOOKING FOR SOMEONE TO COME IN AND PARTNER WITH THE TOWN TO CREATE A VIBRANT DOWNTOWN MIXED-USE ENTERTAINMENT DISTRICT.

WE RECEIVED ONE PROPOSAL IN RESPONSE TO OUR RFP, AND THAT WAS FROM THE TEAM AT MARANA URBAN LLC.

THERE WAS AN EVALUATION COMMITTEE THAT EVALUATED THE PROPOSAL, AND WE HAD SOME BACK AND FORTH WITH THE TEAM.

ALMOST EXACTLY A YEAR AND A MONTH AGO, WE CAME TO COUNCIL AND PRESENTED THE RFP, THE RESPONSE, AND THE RECOMMENDATION OF THE EVALUATION COMMITTEE TO PROCEED WITH NEGOTIATIONS WITH MARANA URBAN.

THE COUNCIL DIRECTED US TO DO THAT BACK ON NOVEMBER 19, 2024.

THAT'S WHAT WE'VE BEEN DOING SINCE THAT TIME.

THEN LAST MONTH, A MONTH AGO, WE CAME TO COUNCIL, AND THE COUNCIL ADOPTED A NOTICE OF INTENT TO ENTER INTO A RETAIL DEVELOPMENT TAX INCENTIVE AGREEMENT, WHICH IS THE THING THAT WE HAVE TO DO BEFORE WE ENTER INTO A DEVELOPMENT AGREEMENT WHERE THERE IS SALES TAX REIMBURSEMENTS FOR INFRASTRUCTURE.

THAT WAS, AGAIN, DONE ON NOVEMBER 18, 2025.

>> THE LEASE AND DEVELOPMENT AGREEMENT THAT IS BEFORE YOU TONIGHT THAT WE'RE ASKING FOR YOUR APPROVAL OF HAS A LEASE INITIAL TERM OF 75 YEARS.

THERE IS A 25-YEAR OPTION PERIOD AS A DEVELOPER OPTION, IF THEY CHOOSE TO EXERCISE IT, SO 100 YEARS POTENTIAL TOTAL LEASE.

THE DEVELOPMENT IS ANTICIPATED TO BE PHASED OVER FIVE PHASES AND APPROXIMATELY AN 11-YEAR TIME FRAME TO GO THROUGH THOSE PHASES.

>> I KNOW WE'RE ALL ADDING UP HOW OLD WE'RE GOING TO BE WHEN IT'S DONE.

>> THIS IS DONE.

>> THE AGREEMENT DOES HAVE A TIMELINE FOR THE DEVELOPMENT TO OCCUR THAT THE DEVELOPER MUST FOLLOW.

I WANT TO EMPHASIZE THAT THESE ARE ALL OUTSIDE TIME LIMITS TO GIVE PLENTY OF TIME, DEPENDING ON WHAT HAPPENS OVER THE NEXT FEW YEARS WITH MARKET CONDITIONS AND THE LIKE.

THE INTENT AND THE ANTICIPATION IS THAT THIS WILL HAPPEN SOONER THAN THESE OUTSIDE DEADLINES.

BUT WITHIN 18 MONTHS OF TODAY, IF THE AGREEMENT IS APPROVED, THE DEVELOPER HAS TO SUBMIT A DEVELOPMENT PLAN FOR PHASE 1 TO THE TOWN WITHIN TWO YEARS, BEGIN CONSTRUCTION IN CONFORMANCE WITH THAT DEVELOPMENT PLAN FOR PHASE 1, AND WITHIN 36 MONTHS HAVE SUBSTANTIAL COMPLETION OF THE REQUIRED PUBLIC IMPROVEMENTS, WHICH WILL BE PUBLIC INFRASTRUCTURE, AND WE'LL DISCUSS IN A COUPLE OF SLIDES, WHAT EXACTLY THAT IS.

WITHIN 42 MONTHS AFTER COMPLETION OF THOSE PUBLIC INFRASTRUCTURE IMPROVEMENTS, RECEIVE A COO CERTIFICATE OF OCCUPANCY FOR THE BUILDINGS THAT ARE GOING TO BE PART OF PHASE 1.

THEN TO YOUR POINT, VICE MAYOR ZIEGLER, WITHIN 180 DAYS AFTER THE ISSUANCE OF COOS FOR PHASE 1, WE'RE GOING TO NEED TO UPDATE THE CONCEPTUAL MASTER SITE PLAN FOR THE REST OF THE PROJECT, UPDATE THE SCHEDULE BECAUSE WE'LL KNOW MORE THAN WHAT'S GOING TO HAPPEN NEXT AND WHEN IT'S GOING TO HAPPEN AND WHERE IT'S GOING TO GO.

THEN, EVERY THREE YEARS UNTIL COMPLETION OF THE PROJECT, THE DEVELOPER WILL BE REQUIRED TO UPDATE BOTH THE CONCEPTUAL MASTER SITE PLAN AND THE SCHEDULE.

WE CAN KEEP IT MOVING AND KEEP IT UP TO DATE BASED ON MARKET CONDITIONS AND DEMAND AND THE LIKE.

THIS IS WHAT I ALLUDED TO EARLIER.

THEN THIS IS JUST A LITTLE BIT A RENDERING PHASE 1 CLOSER UP.

YOU CAN SEE THERE'S THE THOUGHT OF A COUPLE OF RESTAURANTS, A SPA,

MOVING ON TO THE REQUIRED PUBLIC IMPROVEMENTS THAT THE DEVELOPER WILL NEED TO BUILD.

AGAIN, THAT'S ON THAT TIMELINE THAT WE JUST DISCUSSED OF DEVELOPMENT PLAN WITHIN 18 MONTHS, CONSTRUCTION WITHIN 24 MONTHS, AND COMPLETION WITHIN 36 MONTHS FOR PHASE 1.

THE PHASE 1 REQUIRED PUBLIC INFRASTRUCTURE IMPROVEMENTS ARE TEMPORARY PARKING LOT, 400-FEET OF THAT ROADWAY THAT WE'VE SEEN IN A LOT OF THE RENDERINGS, A HALF CIRCLE THROUGH THAT 19 ACRE PROPERTY WITH SIDEWALKS, CURBS, STREET LIGHTING, STREET TREES, ONE OF THE ILLUMINATED ARCH SIGNS BECAUSE WE DIDN'T WANT TO BUILD THE OTHER ONE AND HAVE IT SITTING OUT IN THE MIDDLE OF AN EMPTY FIELD.

AND THE BILLBOARD SIGN, THAT'S ALSO BEEN IN SOME OF THE RENDERINGS THAT'S ON THE TOWN'S WEBSITE, WHICH WOULD BE LOCATED ALONG I-10, NOT ON THE 19 ACRES, BUT ON THE 40 ACRES THAT AN AFFILIATE OF MR. STITLER AND RANA URBAN OWNS TO THE NORTH.

THEY OWN 40 ACRES TO THE NORTH, AND THAT WOULD BE WHERE THE BILLBOARD SIGN WOULD BE LOCATED.

IN SUBSEQUENT PHASES, THE OTHER FOUR PHASES AS THEY DEVELOP OVER THE TIME, THERE WILL BE ADDITIONAL REQUIRED PUBLIC IMPROVEMENTS BUILT BY THE DEVELOPER, INCLUDING PERMANENT PARKING LOTS, THE EXTENSION AND COMPLETION OF THAT PEDESTRIAN ROADWAY WITHIN OUR 19 ACRES, THE INSTALLATION OF THE SECOND ILLUMINATED ARCH SIGN, AND THEN WATER, SEWER, AND DRAINAGE IMPROVEMENTS FOR ONSITE DEVELOPMENT.

THE REQUIRED COMMERCIAL IMPROVEMENTS, AND THESE ARE ESSENTIALLY THE BUILDINGS THAT ARE GOING TO HOUSE WHATEVER ENDS UP BEING ECONOMICALLY FEASIBLE AND BEING PART OF THE DEVELOPMENT, WHICH MAY INCLUDE RETAIL, RESTAURANTS, HOTEL, MULTI-FAMILY RESIDENTIAL USES.

IN PHASE 1, THE REQUIREMENT IS FOR THE DEVELOPER TO BUILD 15,000 SQUARE FEET OF COMMERCIAL DEVELOPMENT, AND THEN IN THE SUBSEQUENT PHASES, IT WILL BE NOT LESS THAN 55,000 SQUARE FEET OF COMMERCIAL DEVELOPMENT.

THE CHART HERE ON THIS SLIDE COMES FROM THE ECONOMIC ANALYSIS THAT THE TOWN HAD COMPLETED BY ELLIOTT POLLOCK & COMPANY, WHICH WE'LL DISCUSS IN A LITTLE BIT MORE DETAIL ON FUTURE SLIDES.

BUT THIS ESSENTIALLY OUTLINES THE PHASES, WHAT THE COMMERCIAL SQUARE FEET OF EACH IS PROJECTED TO BE, AND CONSTRUCTION COSTS.

IT SAYS CONSTRUCTION START, BUT THAT'S SUPPOSED TO BE CONSTRUCTION STOP.

THAT'S THE TIMELINE.

ALTHOUGH THIS IS A COUPLE MONTHS OLD AT THIS POINT, I THINK IT'S PROBABLY SAFE TO SAY THAT WE'RE GOING TO START IN 2026 INSTEAD OF 2025.

REIMBURSEMENT. FOR THE PUBLIC IMPROVEMENTS, WHICH AGAIN ARE THE INFRASTRUCTURE, THE ROADWAY, THE LIGHTS, THE SIGNS, ALL OF THOSE THINGS, ONCE THEY ARE ACCEPTED BY THE TOWN, THEY WILL BECOME OURS.

WE WILL OWN THEM, WE WILL MAINTAIN THEM.

THE TOWN IS GOING TO REIMBURSE THE DEVELOPER FOR THE FULL COST OF THOSE REQUIRED PUBLIC IMPROVEMENTS AS THEY ARE CONSTRUCTED.

THE COSTS WILL BE PAID THROUGH SOURCES THAT ARE DETERMINED BY THE TOWN, BUT DEPENDING ON THE AMOUNTS AND THE TIMING.

BUT IN THIS DEVELOPMENT AGREEMENT, IF IT'S APPROVED BY THE COUNCIL, IT GIVES AUTHORIZATION FOR THE TOWN TO PAY PORTIONS OF THOSE PUBLIC IMPROVEMENTS THROUGH THE TOWN'S DOWNTOWN MARANA REINVESTMENT FUND OR THE DMRF.

JUST TO REMIND YOU AND PROBABLY FOR COUNCIL MEMBER MURPHY AND COUNCIL MEMBER CAVANAUGH, MAYBE THE FIRST TIME THAT YOU'VE HEARD ABOUT THE DOWNTOWN MARANA REINVESTMENT FUND.

IT WAS ESTABLISHED BY COUNSEL BACK IN 2013 BY RESOLUTION AND EXTENDED IN 2018 TO RUN THROUGH 2028.

THAT FUND IS COMPRISED OF 50% OF CONSTRUCTION SALES TAX AND 50% OF GENERAL SALES TAX.

THAT IS GENERATED IN THE DOWNTOWN ACTIVITY CENTER.

THOSE FUNDS ARE PUT INTO THE DMRF, AND IT CAN BE USED FOR PUBLIC INFRASTRUCTURE THAT'S

LOCATED WITHIN THE DOWNTOWN ACTIVITY CENTER.

THERE'S THE 2018 RESOLUTION ALSO REQUIRED COUNCIL APPROVAL IF WE'RE GOING TO ENTER INTO A DEVELOPMENT AGREEMENT THAT WILL ALLOW EXPENDITURE OF THOSE FUNDS, AND SO THIS DA DOES THAT.

THE BED TAX FUND IS OUR SALES TAX FUND ON HOTELS AND LODGING THAT YOU'RE PROBABLY ALL FAMILIAR WITH.

WE HAVE A 6% BED TAX OVER AND ABOVE THE 2.5% THAT IS PAID FOR OTHER ACTIVITIES IN THE TOWN, AND THAT 6% IS, BY STATUTE, MUST BE USED FOR THE PROMOTION OF TOURISM.

WE ARE ALSO PROPOSING TO REIMBURSE THE PUBLIC IMPROVEMENTS FROM THE BED TAX FUND AS WELL.

PROMOTION OF TOURISM UNDER STATE LAW INCLUDES TO DEVELOP, PLAN, IMPROVE, OR OPERATE TOURISM-RELATED ATTRACTIONS.

WE THINK THAT IT FITS WELL WITHIN WHAT'S BEING PROPOSED HERE IN THE DOWNTOWN MARANA DEVELOPMENT.

AS I MENTIONED EARLIER, ON NOVEMBER 18 OF THIS YEAR, YOU DEVELOPED THE NOTICE OF INTENT TO ENTER INTO THE RETAIL DEVELOPMENT TAX INCENTIVE AGREEMENT.

WE JUST TALKED ABOUT THIS LAST MONTH FOR THE CASCATO DEVELOPMENT.

WE DID THE SAME THING.

BUT THE COUNCIL HAS TO MAKE A FINDING THAT THE PROPOSED TAX INCENTIVE IS ANTICIPATED TO RAISE MORE REVENUE THAN THE AMOUNT OF THE INCENTIVE WITHIN THE DURATION OF THE AGREEMENT, AND THAT HAS TO BE VERIFIED BY A THIRD-PARTY ECONOMIST THAT THE TOWN HIRES, NOT THE DEVELOPER, BUT THE TOWN.

THE TOWN DID HIRE ELLIOTT POLLOCK & COMPANY TO DO THAT EVALUATION.

THAT REPORT IS IN YOUR COUNSEL PACKET.

IT IS AN EXHIBIT TO THE DA.

IT WILL GO ALONG WITH 100-YEAR LIFE OF THE AGREEMENT.

IT DID VERIFY THAT FINDING THAT THE PROPOSED INCENTIVE WILL RAISE MORE REVENUE THAN THE AMOUNT THAT THE TOWN WILL REIMBURSE THE DEVELOPER.

SPECIFICALLY, THE ELLIOT POLLOCK REPORT FINDS THAT AND THESE ARE ALL $2025.

THE ESTIMATED COST OF CONSTRUCTION OF THE COMMERCIAL IMPROVEMENTS, THOSE BUILDINGS, IS $84 MILLION IN 2025 DOLLARS.

BUT AS YOU CAN SEE FROM THIS SLIDE, ELLIOTT POLLOCK PROJECTS THAT WE WILL RECEIVE MUCH MORE THAN THAT OVER THE LIFE OF THE LEASE IN DIRECT TAX REVENUES TO THE TOWN 37.5 MILLION OVER THE FIRST 20 YEARS, 180 MILLION, OVER 75 YEARS, 245, BASICALLY, OVER 100 YEARS, RESULTING IN A NET FISCAL BENEFIT TO THE TOWN JUST ON THE TAX REVENUE SIDE OF 96-$161 MILLION OVER THE LIFE OF THE LEASE.

AS IF THAT WASN'T GOOD ENOUGH, THERE ARE OTHER FINANCIAL TERMS AS WELL THAT I WANTED TO POINT OUT, THE OWNERSHIP OF THE BUILDINGS DURING THE TIME OF THE LEASE, THEY'RE OWNED BY THE DEVELOPER, AND THEY ARE REQUIRED TO MAINTAIN THEM.

BUT AT THE END OF THE LEASE, THEY WILL CONVEY THOSE BUILDINGS TO THE TOWN AT NO COST.

THE TOWN COMMISSIONED AN APPRAISAL TO APPRAISE THAT FUTURE REVERSIONARY VALUE OF THOSE BUILDINGS AT YEAR 75, THEY'RE APPRAISED AT 362.9 MILLION, AND AT YEAR 100, 477.5 MILLION DOLLARS.

THE DEVELOPER WE'RE ALSO PAY RENT.

THESE RELATIVELY SMALL NUMBERS COMPARED TO THE BIG NUMBERS THAT WE'VE JUST BEEN TALKING ABOUT.

THE FIXED RENT IS $0.26 PER SQUARE FOOT PER YEAR FOR LEASE PREMISES.

THAT WAS BASED ON AN APPRAISAL THAT WE ALSO HAD COMMISSIONED LAST YEAR IN 2024 TO MAKE SURE THAT WE WERE CHARGING FAIR MARKET RENT.

THE FIXED RENT, THE WAY THE LEASE IS WRITTEN, WILL ONLY BE FOR THE FOOTPRINT OF THE PROPERTY BEING CONSTRUCTED.

IN THE BEGINNING, IT WILL ONLY BE ON THE PHASE 1 PROPERTY AND WILL BEGIN ONCE THE DEVELOPER TAKES CONTROL OF THE PROPERTY AND GETS A GRADING PERMIT.

THEY WILL START PAYING THE FIXED RENT.

IT WILL ESCALATE OVER THE LIFE OF THE LEASE.

THE FIRST ESCALATION WILL BE 10 YEARS AFTER THE EFFECTIVE DATE, AND THEN FIVE YEARS EVERY YEAR THEREAFTER.

DEVELOPER WILL ALSO PAY A PERCENTAGE RENT TO THE TOWN, WHICH IS 3% OF THEIR GROSS RECEIPTS FOR ANY PHASE OF THE PROPERTY.

AND THAT BEGINS EITHER ONCE THEY'VE RECEIVED AN 18% INTERNAL RATE OF RETURN FOR THE PHASE IN QUESTION OR EIGHT YEARS AFTER THE ISSUANCE OF

A CERTIFICATE OF OCCUPANCY ON THE PHASE IN QUESTION, WHICHEVER IS EARLIER.

BUT THE REQUIREMENT WAS THAT WE WOULD HAVE A MASTER DEVELOPER, WHICH WE DO WITH THIS CASE, MARANA URBAN LLC IS THE MASTER DEVELOPER, AND THAT THEY WILL PROCURE THE RESTAURANT TENANTS, HOTEL, RETAIL, WHATEVER THE TENANTS ARE, AND WE'LL WORK TO GET THEM IN LONG TERM LEASES.

LOOKING AT WESTERN TOWNS BECAUSE I LOVE THAT STUFF.

VALENTINE AND MURPHY, BIG BEND, ALPINE, BECAUSE, EVERY ONE OF THOSE OLD TOWNS, AND THERE ARE NUMEROUS IN ARIZONA AS WELL, YOU LEARN SOMETHING.

THAT YOU CAN TRY AND BRING TO THESE PRETTY PICTURES.

RIGHT NOW, THESE ARE PRETTY PICTURES.
